Terms & Conditions

1. Agreement

By engaging Inspiring Wave DigiTech Pvt Ltd (“the Agency”) for digital marketing and design services, you (“the Client”) agree to these Terms and Conditions.

2. Scope of Services

2.1 Services: The Agency agrees to provide digital marketing, web design, graphic design, and related services as agreed upon in the proposal or contract.

2.2 Client’s Responsibilities: The Client will provide necessary information, materials, and approvals to facilitate the delivery of services.

3. Payment and Fees

3.1 Fees: The Client agrees to pay the Agency as per the agreed-upon fee structure.

3.2 Invoicing: The Agency will issue invoices for services rendered. Payments are due according to the terms stated in the invoice.

3.3 Late Payments: In the event of late payments, the Agency may charge interest or suspend services until payment is received.

4. Termination

4.1 Termination by the Client: The Client may terminate the contract, subject to terms regarding payment for work completed.

4.2 Termination by the Agency: The Agency may terminate the contract if the Client breaches these Terms and Conditions.

5. Intellectual Property

5.1 Ownership: The Agency retains ownership of intellectual property related to the services, except for materials provided by the Client.

5.2 Usage Rights: The Client is granted a non-exclusive, non-transferable license to use the provided materials.

6. Confidentiality

Both parties agree to keep confidential information and materials shared during the project.

7. Liability and Warranty

7.1 Limitation of Liability: The Agency’s liability is limited to the fees paid for the services.

7.2 No Warranties: The Agency makes no warranties regarding the results of the services.

8. Indemnification

The Client agrees to indemnify and hold the Agency harmless against any claims or losses.

9. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their control.

10. Dispute Resolution

Any disputes will be resolved through negotiation or mediation before resorting to litigation.

11. Amendments

These Terms and Conditions may only be amended in writing and agreed upon by both parties.

12. Governing Law

This agreement is governed by the laws of India and subject to the jurisdiction of Indian courts.

13. Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
